MEMBERSHIP Agreement

Last Updated: 27 Sep 2025

‍

This Membership Agreement (“Agreement”) is entered into between Picklers Park Roodepoort (Pty) Ltd (“Picklers Park”, “we”, “our”) and the member whose details are provided on the membership application form (“Member”, “you”, “your”).

‍

Acceptance of this Agreement

A handwritten signature is not required to accept this Agreement. Where this Agreement has been made available and brought to your attention before you join, you accept it by purchasing a membership, confirming your acceptance electronically or in writing, or requesting activation of your membership and paying the applicable fee.

This Agreement incorporates the Picklers Park Visitor Agreement, available at www.picklersparkroodepoort.co.za/visitor-agreement. Acceptance applies to the terms presented when you join, together with subsequent amendments introduced in accordance with section 9. Automatic renewal does not, by itself, constitute acceptance of undisclosed changes.

Where membership is purchased at the club, these agreements will be made available before payment. Acceptance may be recorded electronically or in writing.

‍

1. Membership Categories & Benefits

1.1 Picklers Park offers various membership categories as advertised at www.picklersparkroodepoort.co.za/membership. These may include monthly individual memberships, monthly family memberships, and session or day passes.

1.2 The benefits, pricing, and entitlements of each category are published on our website or specified in the membership offer accepted by you.

1.3 Membership benefits are subject to the conditions of the selected category, operating hours, court availability, booking requirements, court rotation rules, and section 5 of this Agreement.

1.4 Membership does not guarantee uninterrupted access, availability of a particular court, or access at every preferred time.

1.5 Unless expressly included in your selected category or the relevant event offer, membership does not include separately charged coaching, equipment hire, tournaments, private events, spectator admission, or other paid programmes.

1.6 Material changes to membership benefits will be communicated in accordance with section 9.

‍‍

2. Term, Renewal & Cancellation

2.1 Monthly memberships are billed monthly in advance and renew automatically on the 1st of each month.

2.2 If you join mid-month, you may be offered a pro-rated fee for that period, provided that the following full month’s dues are paid at the same time.

2.3 Monthly memberships continue on a month-to-month basis unless cancelled in accordance with this Agreement.

2.4 Cancellations must be submitted in writing to hello@picklersparkroodepoort.co.za or through an approved online cancellation form at least 7 (seven) calendar days before the end of the current month. Cancellations received later will take effect at the end of the following month, subject to any cancellation right required by applicable law.

2.5 Subject to applicable law and any express entitlement under this Agreement, membership fees are non-refundable for voluntary non-attendance, unused days, unused benefits, or partial months following cancellation in accordance with this Agreement. Facility restrictions and temporary closures are governed by section 5.

2.6 Session and day passes are valid for the period and benefits specified when purchased. The monthly billing and automatic renewal provisions do not apply to these passes unless expressly agreed.

‍

3. Payments & Fees

3.1 Fees must be paid by debit order, card payment, EFT, or another approved method.

3.2 You are responsible for ensuring that fees are paid when due and that your payment and contact details remain accurate.

3.3 Late or failed payments may result in suspension of membership benefits until outstanding fees are settled.

3.4 Picklers Park may adjust membership fees with at least 30 (thirty) calendar days’ written notice. Fee changes will take effect at the start of a subsequent monthly membership period, allowing members an opportunity to cancel under clause 2.4 before the change applies.

‍

4. Suspension, Upgrades & Downgrades

4.1 A voluntary membership pause or suspension is available only with prior written approval from Picklers Park and in accordance with the applicable club policy. Any approved pause, fee adjustment, or extension must be confirmed in writing.

4.2 Members may request to upgrade or downgrade their membership category, subject to the terms and pricing applicable to the requested category. The effective date and any fee adjustment will be confirmed before the change is implemented.

4.3 Non-attendance or a temporary facility restriction does not automatically pause membership or change its renewal date.

‍

5. Facility Availability, Events & Temporary Closures

5.1 Picklers Park is an active sporting and community venue that hosts tournaments, championships, club activities, private events, and other programmes. Members acknowledge that these activities may occasionally affect normal access and playing opportunities.

5.2 Picklers Park may occasionally reserve courts, restrict access, reduce operating hours, suspend regular programmes, or temporarily close all or part of the facility for tournaments, championships, club events, private bookings, maintenance, repairs, safety reasons, adverse weather, utility interruptions, or other reasonable operational requirements. Restrictions may include reasonable periods needed for event setup and breakdown.

5.3 Occasional, short-term restrictions and closures form part of the normal operation of the club. Subject to applicable law, they do not automatically entitle members to a refund, fee reduction, credit, replacement session, membership suspension, or extension of their membership period. Membership fees remain payable and the normal renewal date remains unchanged.

5.4 For planned tournaments, events and other scheduled restrictions, Picklers Park will give reasonable advance written notice, ordinarily at least 14 (fourteen) calendar days where reasonably practicable. Notice will identify the affected dates, times and facilities and will be sent by email, SMS, WhatsApp, or the membership platform using the member’s registered contact details. Notices may also be published on the website or displayed at the facility. Unexpected restrictions will be communicated as soon as reasonably practicable. Any longer notice period required by law will apply.

5.5 Picklers Park will take reasonable steps to limit disruption to members, taking into account the duration, frequency and cumulative effect of restrictions. This section does not permit unrestricted or indefinite withdrawal of the core benefits of membership.

5.6 Where disruption materially exceeds occasional, short-term restrictions, Picklers Park will assess appropriate arrangements, which may include alternative access, credits, extensions or refunds, and will provide any remedy required by law.

5.7 Where Picklers Park cancels a separately paid booking, lesson, or programme, the applicable booking or programme terms and statutory rights will govern any refund, credit, or rescheduling. Such payments are distinct from general membership fees.

5.8 Any discretionary goodwill credit or extension will be confirmed in writing and does not create an automatic entitlement for future restrictions or closures.

‍

6. Visitor Agreement, Conduct & Safety

6.1 The Picklers Park Visitor Agreement, available at www.picklersparkroodepoort.co.za/visitor-agreement, is incorporated into this Agreement and applies to each member’s entry onto the premises and participation in activities.

6.2 The Visitor Agreement governs matters including:

(a) Assumption of risk and liability provisions;

(b) Health and safety requirements;

(c) Conduct, court restrictions, court rotation and fair play;

(d) Supervision of minors and parental consent;

(e) Commercial activity, coaching and instruction;

(f) Photography, filming and promotional media;

(g) CCTV and security monitoring; and

(h) Personal information and privacy.

6.3 Members must comply with the Visitor Agreement, posted safety notices, reasonable staff instructions, and applicable court rules.

6.4 Each adult included in a family or group membership must accept the applicable agreements. A parent or legal guardian must provide any required consent for a minor. Members must appropriately supervise minors in their care.

6.5 Membership does not authorise coaching, paid instruction, resale of court time, sales, marketing, solicitation, or other commercial activity without prior written approval from Picklers Park.

6.6 The agreements must be read together. If they conflict, this Membership Agreement prevails regarding membership categories, benefits, fees, renewal, cancellation, suspension, changes to membership rights, and the membership consequences of facility restrictions or closures. The Visitor Agreement governs conduct, safety and use of the premises.

6.7 Any provision in the Visitor Agreement describing it as the entire agreement or allowing updates without notice does not replace this Membership Agreement or override the notice requirements applicable to material changes affecting members.

‍

7. Breach, Removal & Termination

7.1 A breach of this Agreement or the Visitor Agreement may result in removal from the premises, suspension of benefits, or termination of membership, subject to applicable law.

7.2 Picklers Park may take immediate action where reasonably necessary to address unsafe conduct, threats, harassment, serious misconduct, or risks to people or property.

7.3 In other cases, Picklers Park will ordinarily notify the member of the breach and provide a reasonable opportunity to remedy it where it is capable of being remedied.

7.4 Removal, suspension or termination for breach does not automatically entitle a member to a refund. Any treatment of prepaid fees remains subject to applicable law and the circumstances of the breach.

‍

8. Communications & Personal Information

8.1 Picklers Park may use your registered contact details to send operational and membership communications, including payment reminders, renewal information, changes to terms, safety notices, and facility restriction or closure notices.

8.2 Members must keep their contact details up to date.

8.3 Promotional communications will be sent in accordance with applicable law and your communication preferences. You may opt out of promotional communications by emailing hello@picklersparkroodepoort.co.za.

8.4 Opting out of promotional communications does not prevent Picklers Park from sending communications reasonably necessary to administer your membership or communicate operational and safety information.

8.5 Personal information will be handled in accordance with the Protection of Personal Information Act, 2013, and Picklers Park’s applicable privacy notices.

‍

9. Changes to Agreements & Policies

9.1 Picklers Park may amend this Agreement and related policies from time to time, subject to applicable law.

9.2 Material changes affecting membership fees, core benefits, access entitlements, cancellation rights, or other material membership obligations will be communicated directly to members in writing at least 30 (thirty) calendar days before taking effect, unless a different period is required by law.

9.3 Such changes will ordinarily take effect at the start of a subsequent monthly membership period, allowing members an opportunity to cancel under clause 2.4 before the changes apply. They will not apply retrospectively to periods already completed.

9.4 Necessary safety instructions, reasonable operational court rules, and legally required changes may take effect sooner, with notice as soon as reasonably practicable. They do not override applicable law or permit unrestricted withdrawal of core membership benefits.

9.5 Publication of an updated agreement on the website does not replace any direct notice required under this section.

‍

10. General & Consumer Rights

10.1 This Agreement and the applicable Visitor Agreement together govern your membership and use of the premises, alongside any additional terms expressly accepted for a particular booking, event, or programme.

10.2 Nothing in this Agreement or any incorporated policy excludes, restricts or overrides any right or remedy that cannot lawfully be excluded under the Consumer Protection Act, 2008, or other applicable law.

10.3 All provisions concerning non-refundable fees, facility closures, suspension, termination, liability, and changes to terms are subject to clause 10.2.

10.4 If any provision is found to be unlawful or unenforceable, it will apply only to the extent permitted by law. The remaining provisions will continue to apply where they can operate independently.

10.5 This Agreement is governed by the laws of the Republic of South Africa.

10.6 Membership queries, cancellation notices and complaints may be sent to hello@picklersparkroodepoort.co.za.
